These Terms of Service ("Terms") govern your use of OpalOps services provided by RRM Services LLC ("OpalOps," "we," "us," or "our"). By requesting crew, accepting a quote, or engaging OpalOps services, you agree to these Terms and our Client Services Agreement.

1. Services

OpalOps provides on-demand labor staffing services including event crews, stagehands, warehouse workers, general laborers, movers, and cleanup crews in the New York and New Jersey market. All crew members are full W-2 employees with workers' compensation, general liability insurance, and fidelity bond coverage.

2. Quotes and Pricing

All quotes are flat-rate and reflect the agreed scope of work based on the information provided in your crew request. Pricing is subject to change if crew requirements, hours, or job conditions change materially from the original request. Scope changes must be agreed upon in writing before the scheduled event date. Quote prices are valid for 14 days from issuance.

3. Payment Terms

Deposit & Balance

A 50% deposit is required to confirm crew booking and reserve your event date. The remaining 50% balance is due within 5 business days of job completion. For extended or multi-week engagements, clients will be invoiced weekly on Fridays, with payment due within 5 business days of invoice receipt.

Payment Methods

Payments are processed securely via Stripe. Accepted payment methods include: ACH (direct debit), credit or debit card, and business check. For check payments, funds must be received and cleared in advance of the scheduled start date to allow sufficient processing time.

Invoice Details

A 50% deposit invoice will be issued upon quote approval. Upon job completion, a final invoice will be issued for the remaining 50% balance. Invoices include itemized crew breakdown, hours, rates, and terms. Undisputed invoices become final after 24 hours of shift completion.

4. Late Payment & Fees

Invoices unpaid after 10 business days from issuance are subject to a late fee of 1.5% per month on the outstanding balance. Repeated late payments or non-payment may result in suspension of future services and referral to collections.

5. Cancellation Policy

Cancellation terms are tiered based on notice provided:

Cancellations must be communicated in writing via email to info@opalops.us. Cancellation time is measured from when OpalOps receives the cancellation notice, not when it was sent.

6. Timekeeping & Hour Disputes

OpalOps maintains official time records for all crew members deployed. Clients are responsible for reviewing and approving hours within 24 hours of shift completion. Time sheets are submitted via our crew management system or email. Undisputed hours become final after 24 hours and are not subject to revision. Any disputes must be raised in writing within 24 hours of shift completion.

7. Non-Solicitation

Clients may not directly solicit, hire, or engage any OpalOps worker introduced through our services for a period of 12 months following the last placement without written consent and payment of a conversion fee. The conversion fee is 20% of the worker's anticipated first-year compensation at the time of hire. This includes any direct hiring, contract work, or third-party placement. Violation of this clause may result in legal action for breach of contract.

8. Limitation of Liability

OpalOps shall not be liable for indirect, incidental, special, or consequential damages arising from the use of or inability to use our services, including but not limited to loss of profits, loss of data, or business interruption. Our total liability for any claim shall not exceed the total amount paid by the client for the specific job or engagement giving rise to the claim. This limitation applies regardless of the form of action (contract, tort, strict liability, etc.).

9. Insurance & Worker Status

All OpalOps crew members are W-2 employees covered under New York State Insurance Fund workers' compensation (Policy #Q 2677 458-8). General liability coverage ($1M per occurrence / $2M aggregate) is maintained under Next Insurance Policy NXTVT9F7WP-OO-GL. Fidelity bond coverage (Bond #BX0084515) protects against employee dishonesty. Clients do not need to provide additional insurance coverage for OpalOps crew, but may be required to add OpalOps as an additional insured if requested.

10. Crew Conduct & Compliance

OpalOps crew members are trained, insured, and fully compliant with state and federal labor laws. All crew members are subject to background checks and drug screenings. Clients are responsible for communicating job site safety requirements, rules, and site-specific policies to the lead crew member prior to work commencing. Any crew member conduct issues should be reported to OpalOps immediately during the job. OpalOps reserves the right to remove any crew member for violation of site rules, safety violations, or misconduct.

11. Governing Law & Dispute Resolution

These Terms and all OpalOps service agreements are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from this agreement shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Queens County, New York, in accordance with AAA Commercial Arbitration Rules. Each party waives the right to trial by jury.

12. Changes to Terms

OpalOps reserves the right to update these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of OpalOps services after any changes constitutes acceptance of the updated Terms. Material changes will be communicated via email to clients with active bookings.

  2. You can cancel the SMS service at any time. Just text 'STOP' to the phone number from which you received messages. After you send the SMS message 'STOP' to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.
  3. If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at info@opalops.us.
  4. Carriers are not liable for delayed or undelivered messages.
  5. As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency will vary based on communication needs. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.
